Carlsberg India Limited’s Oct. 27 filing proposes an offer for sale of up to 86,418,887 shares by its promoter, South Asian Breweries Pte. Ltd., creating a route to public trading without raising new capital for the brewer.

The shares have a face value of ₹1 each. Carlsberg India says it will receive no proceeds from the offer; South Asian Breweries would get the proceeds after offer expenses and applicable taxes. The draft proposes listings on BSE Limited and National Stock Exchange of India Limited.

The filing leaves the offer price, price band, total rupee value and bidding dates blank. Bloomberg reported, citing people familiar with the matter, that the sale could raise up to $700 million and begin as early as December. The prospectus does not confirm either the estimate or the timing.

For the three months ended June 30, 2026, revenue from operations was ₹30.14 billion, up 18.32% year over year. The company’s separate Net Revenue measure rose 21.47% to ₹13.66 billion; it subtracts excise duty and fees from revenue from operations. Restated profit fell 3.89% to ₹1.58 billion.

The prospectus reports a 21.9% market share across 16 Indian states and union territories in fiscal 2026. It identifies greater visibility and access to public trading among the expected benefits of a listing. The filing describes this as Carlsberg India’s first public issue and says no formal market for its shares currently exists.

Parent-shareholder sales have featured in other Indian subsidiary listings, including Hyundai Motor India’s 2024 offer by Hyundai Motor Company and a 2025 sale of 15% of LG Electronics India’s issued shares. Carlsberg Group CEO Jacob Aarup-Andersen said on an Aug. 19 earnings call that the Indian business had submitted a confidential draft in July and IPO work was continuing. EconoTimes previously covered the company’s IPO update after the July submission.
