BIRMINGHAM, Mich., March 10, 2016 -- Conifer Holdings, Inc. (Nasdaq:CNFR) (the “Company”) today announced that it will host a live webcast of its 2016 Annual Shareholders Meeting (the “Annual Meeting”) on Wednesday, May 18, 2016, beginning at 10:00 a.m. (ET). The board of directors has established Monday, March 21, 2016 as the record date for determining shareholders entitled to vote at the meeting. Additional details about the live webcast will be specified in the Company’s proxy statement related to the Annual Meeting.
Because the date of the Annual Meeting is more than 30 days before the anniversary date of last year’s Annual Meeting (which took place by written consent in lieu of such Annual Meeting prior to the Company’s initial public offering), pursuant to applicable SEC rules and the Company’s amended and restated bylaws, the Company has set the deadline for submission of proposals to be included in the Company’s proxy materials, as well as director nominations by shareholders or other business to be brought before the Annual Meeting, as the close of business on March 21, 2016. Written notice for any such proposals, nominations or other business must be received by the Company at its principal executive office (Conifer Holdings, Inc., Attention: President, 550 W. Merrill Street, Suite 200, Birmingham, Michigan 48009) by such deadline and must comply with the procedures and requirements of applicable SEC rules and the Company’s amended and restated bylaws.
