EAAA India Alternatives Limited will open its Indian IPO on Oct. 26, with an Edelweiss subsidiary offering up to ₹1,200 crore in existing shares, sending proceeds to the seller instead of the asset manager.
Edelweiss Financial Services Limited said in an Oct. 20 stock-exchange filing that its wholly owned subsidiary, Edelweiss Securities & Investments Private Limited, is selling the shares. The filing says EAAA’s red herring prospectus is dated Oct. 19 and covers shares with a face value of ₹5 each. EAAA is issuing no new stock, so it will receive no IPO proceeds. The selling shareholder is due to receive the proceeds after offer expenses and relevant taxes.
The current cap is ₹300 crore below the ₹1,500 crore offer for sale in EAAA’s January draft prospectus. Both proposals involve a sale of existing shares; the January prospectus did not describe a fresh-share component either. The Oct. 20 filing gives no reason for the lower ceiling.
In a March update, Edelweiss described the proposed IPO as a step toward building EAAA into a standalone institutional platform. That background does not explain the revised offer amount. The share sale gives the Edelweiss subsidiary a way to sell part of its holding through the public offering, while the transaction itself adds no new share capital to EAAA.
EAAA focuses on real assets and private credit. In an August business update, the company said assets generating fees totaled ₹48,623 crore at the end of June. In a March 9 update, Edelweiss said a transaction covering 4.4% of EAAA’s common equity was complete, at a value of ₹375 crore.
The timetable puts anchor investor bidding first, on Friday, Oct. 23. Public bidding is scheduled to run from Monday, Oct. 26, through Oct. 28, according to the exchange filing. The dates are for Indian markets; the filing does not specify bidding hours.
