WESTCHESTER, Ill., April 05, 2017 -- Fenix Parts, Inc. (Nasdaq:FENX), a leading recycler and reseller of original equipment manufacturer (“OEM”) automotive products, today announced that the Nasdaq Hearings Panel (the "Panel") issued a decision granting the Company’s request for the continued listing of its common stock on The Nasdaq Stock Market (“Nasdaq”). The Company’s continued listing on Nasdaq is subject to, among other things, the Company filing with the Securities and Exchange Commission (the “SEC”) its Annual Report on Form 10-K for the year ended December 31, 2016 (the “2016 Form 10-K”) by May 26, 2017. In addition, on or before June 30, 2017, the Company is required to file its Quarterly Report on Form 10-Q for the period ended March 31, 2017.
“We recently presented our detailed plan of compliance and are pleased that the Panel has granted us additional time to complete our SEC filings,” said Kent Robertson, CEO of Fenix Parts. “We are working diligently, in conjunction with our audit firm, to complete the annual and first quarter filings.”
Separately and as expected, the Company received a delinquency notice from the Nasdaq Listing Qualifications staff in connection with its inability to timely file the 2016 Form 10-K, as required by Nasdaq Listing Rule 5250(c)(1). The Company’s inability to timely file the 2016 Form 10-K was the result of delays associated with its quarterly SEC periodic reports, and the fact that the Company filed its Quarterly Report on Form 10-Q for the period ended September 30, 2016 on March 29, 2017. This was fully explained to the Panel at the hearing on March 30, 2017 and was factored into the Panel’s decision discussed within.
