Maximus Inc. has agreed to buy Agile Defense, LLC and certain affiliates in a deal with a $660 million base cash price, seeking to expand its U.S. defense and national security business.
Maximus announced the agreement Oct. 19. The cash price is payable at closing and may be adjusted. Maximus could also owe additional payments if specified performance targets are met.
Privately held Agile Defense, based in McLean, Virginia, provides cybersecurity, artificial intelligence, data analytics and digital transformation services. It is backed by Enlightenment Capital.
Maximus said Agile Defense serves more than 50 U.S. federal agencies and has about 1,100 personnel with security clearances. The acquisition would add those services and federal customers to Maximus’ defense and national security business if completed.
Regulators must still approve the purchase, and other closing conditions remain. Maximus expects to complete the deal in the first quarter of its 2027 fiscal year if those conditions are met.
Maximus has scheduled a conference call about the acquisition for 9 a.m. ET Oct. 20.
