HOUSTON, Jan. 23, 2017 -- Targa Resources Corp. (the "Company") (NYSE:TRGP) announced today that it has commenced an underwritten public offering of 7,000,000 shares of its common stock. The Company also intends to grant a 30-day option to the underwriter to purchase up to an additional 1,050,000 shares of common stock.
The Company intends to use the net proceeds from this offering, including any net proceeds from the underwriter's exercise of its option to purchase additional shares of common stock, to fund a portion of the $565 million initial purchase price of the previously announced acquisition of 100% of the membership interests of Outrigger Delaware Operating, LLC, Outrigger Southern Delaware Operating, LLC and Outrigger Midland Operating, LLC (the “Outrigger Permian Acquisition”). This offering is not conditioned on the consummation of the Outrigger Permian Acquisition. Prior to funding the Outrigger Permian Acquisition, or if the Company does not complete the pending Outrigger Permian Acquisition, the Company may use some or all of the net proceeds for general corporate purposes, which may include, among other things, repayment of indebtedness (including the indebtedness of Targa Resources Partners LP (the “Partnership”)), acquisitions, capital expenditures, additions to working capital and redeeming or repurchasing some of the Partnership’s outstanding notes.
Barclays Capital Inc. will act as book-running manager in the offering.
