Anthropic's amended IPO filing reports a $567 million third-quarter operating loss and $895.4 billion in purchase and lease commitments, laying out the scale of obligations tied to its proposed public offering.
The amended S-1/A, filed Nov. 2, puts revenue for the three months ended Sept. 30, 2026, at $16.956 billion. Anthropic attributed the operating loss mainly to $5 billion in costs for compute secured under short-term commitments and $2 billion in noncash donation-matching charges. The company said short-term arrangements cost more than comparable capacity under multiyear agreements.
Anthropic had reported $974 million in operating income in the previous quarter. Its third-quarter non-GAAP adjusted operating income was $2.463 billion, while its net loss was $23.291 billion. The filing lists $21.936 billion in expense from fair-value changes in convertible notes, derivative liabilities and simple agreements for future equity. Anthropic said those changes were driven primarily by an increase in its enterprise valuation.
Substantially all of the $895.4 billion in commitments relate to compute and infrastructure, including leases that have not begun. The company expects about $447.5 billion to be incurred before the end of 2030, with substantially all of the remainder expected to be incurred from 2031 through 2045. Separately, about $69.8 billion in contractual obligations is expected to be paid in the 12 months after Sept. 30, 2026; roughly $4.3 billion is subject to termination rights or conditions before commencement.
Anthropic said it often secures compute 12 to 18 months before it is needed. The filing warns that infrastructure spending can raise expenses and cash needs before the related capacity is operational, without ensuring higher revenue or growth. As of Sept. 30, the company reported $95.6 billion in cash and cash equivalents, $36.3 billion in short-term investments and $14.8 billion available under a credit facility. Anthropic put total liquidity at $146.6 billion.
For the first nine months of 2026, the filing reports revenue of $33.242 billion and a net loss of $104.039 billion, updating EconoTimes' earlier report on Anthropic's first-half filing.
Seaport Research Partners Senior Analyst Jay Goldberg told Yahoo Finance in an Oct. 30 interview that Anthropic could return to operating losses after one or two quarters as it changes how it obtains computing capacity. He called the IPO setup “pretty challenging.” The preliminary prospectus still leaves the share count and offering price blank.
