JACKSONVILLE, Fla., March 13, 2018 -- Black Knight, Inc. (NYSE:BKI) (the “Company” or “Black Knight”), a leading provider of software, data and analytics solutions to the mortgage and consumer loan, real estate and capital market verticals, today announced that affiliates of Thomas H. Lee Partners, L.P. (together, the “Selling Shareholder”), intend to offer for sale 4,000,000 shares of the Company’s common stock pursuant to a shelf registration statement filed with the Securities and Exchange Commission (“SEC”), of which the Company intends to repurchase from the underwriter 1,000,000 shares of common stock. The shares will be offered to the public at a fixed price, which may be changed at any time without notice.
The Selling Shareholder will receive all of the net proceeds from this offering. No shares are being sold by the Company.
The Company's per-share purchase price for the repurchased shares will be the same as the per-share purchase price payable by the underwriter to the Selling Shareholder. The Company intends to fund the share repurchase with borrowings under its revolving credit facility.
Goldman Sachs & Co. LLC will act as the underwriter for this offering.
