Hyperscale Data, Inc. (NYSE American: GPUS) is preparing to list its askROI subsidiary as a separate public company in 2027, with three possible deal routes still under review.
In an announcement on Oct. 16, the company said it is targeting the second or third quarter of 2027. Its options include a reverse takeover, an initial public offering or a transaction with a special purpose acquisition company. The target date depends on the company’s financial and regulatory obligations, as well as market conditions.
If it pursues a reverse takeover, Hyperscale Data says it would transfer askROI to an unidentified public company in the first half of 2027 in exchange for shares. Its schedule calls for completing both that transaction and a later filing to register the shares for resale by the second or third quarter of 2027.
The company describes askROI as a web and mobile service combining access to AI models with more than 240 productivity tools, custom AI applications and business knowledge-management functions. An annual report filed with the U.S. Securities and Exchange Commission says the platform had more than 1.3 million cumulative downloads by March 2026, after its commercial launch in April 2025. Downloads do not establish how many users were active or paying.
The filing says MeetKai, Inc. builds and maintains the service, while askROI owns its intellectual property. It also says askROI gives users access to models from multiple providers but does not develop or train those models itself.
Hyperscale Data expects founder and executive chairman Milton ‘Todd’ Ault III to step down as askROI CEO as the company prepares the transaction. Hyperscale Data expects Joseph Spaziano, its chief technology officer and askROI’s president and chief operating officer, to become CEO. It expects Ryan Doucette, askROI’s head of product, to become president, but said it cannot confirm they will retain those roles after a transaction.
Ault said he believes askROI’s value is “not being recognized by the public markets.” Hyperscale Data says a separate listing could give the subsidiary an independent market valuation and benefit its stockholders and future askROI shareholders. The company plans to provide more details on the structure and timetable later, and cautioned that the listing may not meet its target or happen at all.
