Netflix has officially appointed lead independent director Jay Hoag as chairman of its board of directors, marking a significant leadership transition for the streaming giant after co-founder Reed Hastings stepped down from the board.
The leadership change was disclosed in a filing with the U.S. Securities and Exchange Commission (SEC) on Friday. According to the filing, Hoag assumed the role of board chairman immediately following Netflix’s annual shareholders meeting held on June 4.
The move comes after Netflix announced in April that Hastings would be leaving the company’s board to focus on philanthropy and other personal pursuits. Hastings co-founded Netflix nearly three decades ago and played a pivotal role in transforming the company from a DVD-by-mail rental service into one of the world’s most influential streaming platforms.
Under Hastings’ leadership, Netflix reshaped the entertainment industry by pioneering the global streaming model and investing heavily in original content. His tenure also included steering the company through the COVID-19 pandemic, a period that accelerated streaming adoption worldwide and fueled substantial subscriber growth while many traditional entertainment businesses faced significant challenges.
Jay Hoag brings extensive experience and a long history with Netflix to his new position. He is the co-founder of Technology Crossover Ventures (TCV), a prominent growth equity investment firm that has supported Netflix for many years. Hoag has served on Netflix’s board since 1999 and has held the position of lead independent director for more than a decade.
As chairman, Hoag is expected to provide continuity and strategic oversight as Netflix continues to expand its global presence and strengthen its position in the highly competitive streaming market. His deep understanding of the company’s business model and long-standing involvement with its governance make him a natural successor to Hastings in the board leadership role.
In addition to his responsibilities at Netflix, Hoag currently serves on the boards of Zillow Group and Peloton Interactive, bringing broad experience from the technology and consumer sectors to his new role as chairman of Netflix’s board.
