Synlait Milk has rejected speculation that it is in takeover discussions with Fonterra or The a2 Milk Company after reports suggested the two dairy groups were considering a joint bid to take the New Zealand-listed processor private.

The company said Monday that it was aware of media reports concerning a potential transaction involving third parties. However, Synlait stressed that it “is not involved in any discussions” with either a2 Milk or Fonterra regarding the reported proposal and declined to comment further.

The statement followed a report from The Australian claiming Fonterra and a2 Milk were exploring a potential joint takeover of Synlait. Under the reported scenario, a2 Milk could work with Fonterra as a funding partner in a possible deal.

Synlait and a2 Milk have maintained a significant commercial relationship over the years. Synlait previously held exclusive manufacturing rights for several a2 Milk infant formula products, including products destined for the Chinese market. Those exclusivity arrangements later ended as a2 Milk sought greater supply-chain control and diversification.

Despite the changes, a2 Milk remains one of Synlait’s largest shareholders, holding approximately 19.8% following its participation in the dairy processor’s 2024 recapitalisation. Bright Dairy, meanwhile, increased its ownership to 65.25%, giving the Chinese dairy company majority control.

The takeover speculation arrives as Synlait continues efforts to restructure its business and improve its financial position. The dairy processor completed a major refinancing in June as it worked to reduce pressure from high debt and years of weak earnings.

Asset sales have also formed part of Synlait’s turnaround strategy. Its North Island operations were acquired by Abbott earlier this year, while the Dunsandel facility in Canterbury remains a major part of the company’s nutritional and dairy processing operations.

Any future Synlait takeover would likely need to account for its concentrated shareholder structure, particularly Bright Dairy’s controlling stake and a2 Milk’s strategically significant minority holding.
