AMD has announced a $4.9 billion acquisition of ZT Systems, aiming to strengthen its AI and data center offerings. The deal, set to close by mid-2025, will see ZT’s products and 1,000 engineers integrated into AMD’s Data Center division, enhancing its competitive edge in the AI market.

One of AMD's most significant AI ventures is the acquisition of ZT Systems, a server manufacturer, for an astonishing $4.9 billion. ZT's products are intended to address numerous industries, such as 5G telecommunications, computing platforms, storage, and GPU servers.
The company will be incorporated into AMD's Data Center business division. According to Wccftech, the SEC filing indicates that 75% of the deal, or $3.675 billion, will be funded by cash, with the remaining portion financed through equities. AMD anticipates that the transaction will be finalized by the first half of 2025.
ZT Systems is a server manufacturer and designer. AMD seeks to broaden its design capabilities through the agreement and enhance its end-to-end AI offerings. In contrast to NVIDIA, AMD can offer a diversified product roadmap for AI or other workloads by selling x86 CPUs for data centers and different use cases.
Frank Zhang, ZT's CEO, will oversee the manufacturing business following the completion of the transaction, while Doug Huang, the company's president, will oversee the design business. AMD intends to safeguard its margins by identifying a "strategic partner" to acquire ZT Systems' industry-leading U.S.-based data center infrastructure manufacturing business. The company will be incorporated into AMD's Data Center business division.
AMD's acquisition of ZT Systems is expected to bring significant financial benefits. With over 1,000 of ZT's engineers joining AMD, the company anticipates the transaction to be finalized by the first half of the following year. The financial gains are projected to appear on AMD's income statement by the end of 2025, further strengthening its financial position.

By the comprehensive agreement between AMD and ZT Systems and other disclosures, AMD will provide ZT with $3.375 billion in closing cash consideration and $300 million in cash through contingent consideration. This implies that AMD may need additional loans to finance the purchase, as 75% of the transaction will be funded with cash.
The deal's completion, subject to regulatory sanction, is poised to significantly enhance AMD's market share in the AI chip sector. With the data center accelerator market for artificial intelligence applications projected to reach $400 billion in 2027, ZT's expertise in these systems is expected to give AMD a competitive edge.
In pre-market trading on August 19, AMD's shares increased by 2.3%. The company intends to conduct a conference call later to disclose further information regarding the transaction. The stock has experienced a 29% decline since March despite gaining 52% year-to-date. This decline is attributed to the market's pause from its AI mania, as investors continue to monitor earnings reports with an eye toward the revenue generated by AI software.
