REDDING, Calif., May 04, 2017 -- Bank of Commerce Holdings (NASDAQ:BOCH) (the “Company”), a $1.1 billion asset bank holding company and parent company of Redding Bank of Commerce (the “Bank”), today announced the pricing of an underwritten public offering of 2,380,953 shares of its common stock at a price to the public of $10.50 per share for gross proceeds of approximately $25.0 million. The net proceeds to the Company after deducting underwriting discounts and commissions and estimated offering expenses are expected to be approximately $23.3 million (or approximately $26.8 million if the underwriters exercise their option to purchase additional shares in full). The Company has granted the underwriters a 30-day option to purchase up to an additional 357,143 shares of the Company's common stock to cover over-allotments, if any. Raymond James & Associates, Inc. is serving as bookrunning manager and D.A. Davidson & Co. is serving as co-manager. The Company expects to close the transaction, subject to customary conditions, on or about May 10, 2017.
The shares will be issued pursuant to a prospectus supplement filed as a part of a shelf registration statement previously filed with the Securities and Exchange Commission on Form S-3.
The Company intends to use the net proceeds from this offering for general corporate purposes, including contributing to the capital of Redding Bank of Commerce to support its lending and investing activities, to support or fund acquisitions of other institutions or branches as and if opportunities for such transactions become available, or to repay certain borrowings.
