ATLANTA, March 28, 2016 -- HD Supply Holdings, Inc. (Nasdaq:HDS) today announced that its indirect wholly-owned subsidiary, HD Supply, Inc. (“HD Supply”), has priced $1,000,000,000 aggregate principal amount of 5.75% Senior Notes due 2024 (the “Notes”). The Notes are being offered and sold in transactions exempt from registration under the Securities Act of 1933, as amended (the “Securities Act”). HD Supply intends to use the net proceeds from the offering, together with available cash, to redeem all of its outstanding $1,000,000,000 aggregate principal amount of 11.50% Senior Notes due 2020 in accordance with the terms of HD Supply’s previously announced notice of conditional full redemption, and to pay related fees and expenses. The redemption date is expected to be April 27, 2016.
The Notes have not been registered under the Securities Act or the securities laws of any other jurisdiction and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
