The selling stockholders named in the prospectus are selling 3,963,282 shares of Kinsale common stock. In connection with the offering, certain of the selling stockholders have granted the underwriters an option to purchase up to an additional 594,492 shares. Kinsale will not receive any proceeds from the offering.
