LAS VEGAS, Oct. 12, 2016 -- Pinnacle Entertainment, Inc. (NASDAQ:PNK) ("Pinnacle") announced today that it has closed the previously announced private offering of an additional $125.0 million aggregate principal amount of its 5.625% Senior Notes due 2024 (the "additional 2024 notes"). The additional 2024 notes constitute a further issuance of, and form a single series with, the $375.0 million in aggregate principal amount of 5.625% Senior Notes due 2024 that Pinnacle issued on April 28, 2016. Pinnacle intends to use the net proceeds from the offering to repay a portion of the outstanding borrowings under its revolving credit facility.
The additional 2024 notes have not been registered under the Securities Act of 1933, as amended (the "Securities Act"), or any state securities laws and may not be offered or sold in the United States or to any U.S. persons absent registration under the Securities Act, or pursuant to an applicable exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws. The additional 2024 notes are being offered only to "qualified institutional buyers” under Rule 144A of the Securities Act.
