(Nasdaq:PDCO) (“Patterson” or the “Company”) securities during the period between June 26, 2015 and February 28, 2018, inclusive (the “Class Period”). The complaint accuses the defendants of violations of the Securities Exchange Act of 1934 by virtue of the defendants’ failure to disclose during the Class Period that the Company’s revenue and earnings were fraudulently inflated by an illegal and fraudulent price-fixing scheme aimed at prohibiting sales to and price negotiations by group purchasing organizations that represented small and independent dental practices.
According to the complaint, following a February 12, 2018 filing of a complaint for violations of U.S. antitrust laws alleging that the Company had been engaged in a conspiracy to fix the prices of dental supply products, a March 1, 2018 announcement of dismal results due to changes in the Company’s sales organization and disruption in its sales force, the immediate resignation of the Company’s Chief Financial Officer, and the cutting of the full year guidance, the value of Patterson shares declined significantly.
