PINE BLUFF, Ark., March 21, 2018 -- Simmons First National Corporation (Nasdaq:SFNC) today announced the pricing of its offering of $330 million aggregate principal amount of 5.00% Fixed-to-Floating Rate Subordinated Notes due 2028 (the “Notes”). The Notes will bear a fixed interest rate of 5.00% per year from, and including, the date of issuance to, but excluding, April 1, 2023, payable semi-annually in arrears. From, and including, April 1, 2023 to, but excluding, the maturity date or any early redemption date, the interest rate shall be a floating rate equal to three-month LIBOR determined on the determination date of the applicable interest period plus 215 basis points, payable quarterly in arrears. The Notes were offered to the public at 100% of their face amount.
Simmons First National Corporation expects to use approximately $222.3 million of the net proceeds from the sale of the Notes to repay outstanding indebtedness and the remainder for general corporate purposes. The offering is expected to close on March 26, 2018, subject to customary closing conditions.
