HOUSTON, Aug. 03, 2017 -- Superior Energy Services, Inc. (“Superior”) today announced that its subsidiary SESI, L.L.C. (“SESI”) has priced $500 million aggregate principal amount of 7 3/4% Senior Notes due 2024 (the “notes”) in connection with its previously announced private placement to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Act”), and to non-U.S. persons outside the United States in reliance on Regulation S under the Act. The notes will be guaranteed on a senior unsecured basis by Superior and the domestic subsidiaries that guarantee indebtedness under Superior’s revolving credit facility. The notes were priced at par.
The closing of the offering is expected to occur on August 17, 2017, subject to customary closing conditions.
SESI intends to use the net proceeds of the notes offering and cash on hand to redeem $500 million of SESI’s outstanding 6 3/8% Senior Notes due 2019.
The notes have not been registered under the Act or the securities laws of any other jurisdiction. Accordingly, they may not be offered or sold in the United States absent registration or an applicable exemption from such registration requirements.
