Warner Bros. Discovery (NASDAQ: WBD) shares climbed 3% on Friday, while Paramount Global gained 1.6%, after a Wall Street Journal report suggested California Governor Gavin Newsom is concerned that the state's antitrust lawsuit could derail the proposed $110 billion merger involving Paramount Skydance and Warner Bros. Discovery.
Investor sentiment improved after reports that Newsom has privately expressed worries that blocking the high-profile media merger could negatively affect employment across California's entertainment industry. According to the report, the governor's office has encouraged California Attorney General Rob Bonta to pursue an out-of-court settlement instead of continuing the legal battle.
The development has fueled optimism that the merger could still move forward despite mounting legal challenges. However, Newsom does not have authority over the litigation. Under California law, the attorney general independently controls the lawsuit, meaning Bonta is not required to follow the governor's recommendations. As a result, it remains uncertain whether Newsom's position will have any direct impact on the case.
The reported disagreement highlights growing tensions between two of California's highest-ranking elected officials over one of the media industry's biggest proposed transactions. The lawsuit is part of a broader legal effort by a coalition of 12 states seeking to block the merger, arguing it could reduce competition and harm consumers and the entertainment sector.
On July 23, a judge temporarily paused the merger while the court reviews the potential competitive and consumer impacts of the deal. That decision added another layer of uncertainty for investors monitoring the transaction.
Although Governor Newsom cannot withdraw the lawsuit or direct the attorney general's legal strategy, his reported support for a negotiated resolution has provided a boost to market confidence. Investors increasingly view the governor's concerns over potential job losses as a positive sign for the future of the Warner Bros. Discovery and Paramount Skydance merger, even as the legal battle continues to unfold.
