According to the complaint, following an April 5, 2017 report that Celadon has used off-balance sheet entities and manipulative accounting practices to hide its insolvent condition from investors and creditors, and an April 19, 2017 announcement that the Company received correspondence from the SEC indicating that Celadon was under investigation, the value of Celadon shares declined significantly.
